Terms of Service

These terms govern how we work. We’ve kept them in plain English – the same way we run our projects. By engaging our services or using this website, you agree to them.


1. Who you’re working with

“Gavenea Studio”, “we”, “us” refers to:

Our services are provided to businesses only (B2B). By engaging us, you confirm you are acting on behalf of a company, not as a consumer.


2. How we work: written-first, 100% async

All communication happens in writing – email and shared documents. No phone calls, no video meetings. This is not a limitation; it is how we deliver considered work:

  • Every decision is documented and searchable.
  • You receive thought-through answers, not improvised ones.
  • We reply to every message within 1 business day (Monday–Friday, [Eastern European Time / EET]).

If your project requires regular calls or meetings, we are honestly not the right studio for you – and we’d rather tell you that here than disappoint you later.


3. Our services

3.1 Free Website Audit

  • We review your website based on publicly available data (Google PageSpeed Insights, Core Web Vitals, visible structure and content) and our professional judgment.
  • You receive a written summary by email, within 2 business days of your request.
  • The audit is free, with no obligation. It may include an honest verdict: sometimes the right recommendation is not to buy our optimization service (see 3.2).
  • The audit is informational and provided “as is” – it is a professional opinion, not a binding promise of specific results.

3.2 Speed Optimization

  • Price: $2,500 (fixed). Delivered within 10 business days of project start.
  • Our guarantee, in writing: after our work, your website will reach a Google PageSpeed score of 90+ (mobile), Largest Contentful Paint under 1.5 s, and Cumulative Layout Shift of 0 – measured via Google PageSpeed Insights on the agreed key pages. If we fail to deliver these numbers, you don’t pay.
  • Eligibility: the guarantee applies only to websites we have assessed in a prior audit and confirmed in writing as eligible. Some sites cannot reach these numbers without rebuilding – if that’s your case, we’ll say so upfront instead of taking your money.
  • The $2,500 credit: if, within 12 months of a completed optimization, you commission a full website build from us (Custom Web Design or Growth Package), the entire $2,500 is deducted from that project’s price.
  • The guarantee assumes no third-party changes during the project. Scores measured at handover; if you later install plugins, scripts or content that degrade performance, that’s outside our control (though our maintenance services can help).

3.3 Custom Web Design

  • Custom WordPress websites, with published pricing: Essential ($8,000), Standard ($12,000), and individually scoped projects from $15,000. The current scope of each tier is described on our Services page, which forms part of the agreement at the time of ordering.
  • Every tier includes the same performance standard: PageSpeed 90+, LCP under 1.5 s, CLS 0 at handover. Tiers differ in scope, never in quality.
  • Process: we work from a written brief. You’ll receive a proposal documenting scope, deliverables, timeline and payment schedule. Work begins after written acceptance and the first payment.
  • Payment schedule: 50% at project start, 50% at handover – or as set out in the individual proposal.
  • Revisions: each tier includes the revision rounds specified in the proposal. Additional revisions or scope changes are quoted in writing before any extra work begins. No surprise invoices, ever.
  • Client responsibilities: providing source materials (brand assets, content inputs, access credentials) within agreed timeframes. Delays in materials extend the timeline accordingly.

3.4 Growth Package

  • A complete custom website, built and continuously improved, for a monthly fee (current pricing on our Services page). Minimum term: 12 months.
  • Months 1–2: full design and build. Months 3–12: ongoing optimization – performance monitoring, data-informed improvements, updates and refinements, documented in a monthly written report.
  • Ownership: the website, its design and content are transferred to you in full upon completion of the 12-month term (or upon early settlement, below). Until then, the site is operated and administered by us for your exclusive use.
  • Early termination: because the build is financed through the subscription, if you terminate before the end of the minimum term, the remaining difference up to the value of the build (equivalent Custom Web Design tier, as stated in your proposal) becomes payable. After settlement, ownership transfers to you immediately.
  • After 12 months: continue on a reduced maintenance retainer, or take full ownership and part ways – your choice, no lock-in beyond the initial term.
  • The performance guarantee (3.2 numbers) applies for the entire duration of the subscription.

4. Payments

  • All prices are in US dollars (USD) and, unless stated otherwise, exclusive of any applicable VAT or local taxes.
  • Invoices are issued by Sonyc Photo Events SRL and payable within 14 days by bank transfer or the payment methods stated on the invoice.
  • For subscription services, the monthly fee is due in advance, at the start of each billing period.
  • If an invoice remains unpaid after written reminder, we may pause work until payment is received. Paused subscription months still count toward billing, not toward deliverables.

5. Intellectual property

  • Upon full payment, you own the final deliverables: the website design, custom code created for your project, and content we produced for you.
  • We retain ownership of our pre-existing tools, frameworks, processes and know-how, which we license to you as embedded in the deliverables.
  • Third-party components (themes, plugins, fonts, stock assets) remain governed by their own licenses, which we select to permit your commercial use.
  • Portfolio rights: we may display the completed work in our portfolio and marketing (including performance scores), unless you ask us in writing not to – we’ll always honor that.

6. What we expect from you

  • Accurate information and materials, provided in reasonable time.
  • That the content you supply doesn’t infringe anyone’s rights – you are responsible for the legality of materials you provide.
  • Lawful use of the deliverables. We don’t build websites for illegal, deceptive or harmful purposes, and we may decline or terminate such projects.

7. Honest limits of our liability

  • We deliver professional work with measurable standards – but no website can guarantee business outcomes. We do not promise specific revenue, rankings, conversion rates or traffic. (We promise performance numbers, and those we put in writing – see 3.2.)
  • To the maximum extent permitted by law, our total liability for any claim arising from a project is limited to the amount you paid us for that project (or, for subscriptions, the fees paid in the preceding 12 months).
  • We are not liable for indirect or consequential damages (lost profits, lost data, business interruption), or for failures caused by third parties outside our control (hosting outages, third-party plugin vulnerabilities, changes to Google’s metrics or algorithms).
  • Nothing in these terms excludes liability that cannot legally be excluded.

8. Term and termination (one-time projects)

  • Either party may terminate a project in writing if the other materially breaches these terms and fails to remedy the breach within 14 days of written notice.
  • If you cancel a one-time project mid-way without our breach, work completed to date (and the corresponding share of the price) remains payable.
  • Sections that by nature survive termination (payment, IP, liability, confidentiality) survive it.

9. Confidentiality

We treat your non-public business information as confidential and use it only to deliver the work. We expect the same regarding our proposals, pricing and processes. This obligation survives the end of our work together.


10. Website use

The content of gaveneastudio.com (text, design, graphics, performance data) is our property. You’re welcome to link to it and quote briefly with attribution; please don’t republish substantial parts without permission. The website and free audit are provided “as is”, without warranties beyond those required by law.


11. Governing law and disputes

  • These terms are governed by the laws of Romania.
  • If something goes wrong, we talk first – in writing, of course. Most issues are solved by two reasonable parties and a clear paper trail.
  • Disputes that cannot be resolved amicably fall under the jurisdiction of the competent courts of Brașov, Romania.

12. Changes to these terms

We may update these terms from time to time. The version in force when you commission a project is the one that applies to it. Material changes to ongoing subscriptions will be communicated in writing with at least 30 days’ notice.
